(Collectively referred to as the “Parties”)


Recitals

WHEREAS, SayPro is dedicated to supporting the formalization and accreditation of businesses in informal settlements and has developed a program to assist these businesses in their growth; and
WHEREAS, the Partner Organization is an [NGO/Government body/Private Sector Organization] with the expertise, resources, and interests that align with SayPro’s mission; and
WHEREAS, the Parties desire to collaborate in a strategic partnership to achieve common goals related to business accreditation, community development, and economic empowerment.

NOW, THEREFORE, in consideration of the mutual promises, covenants, and obligations set forth herein, the Parties agree as follows:


1. Purpose of the Partnership

The purpose of this Agreement is to formalize a partnership between SayPro and the Partner Organization to:

  • Collaborate on the accreditation process for informal businesses in the identified communities.
  • Provide technical support, resources, or funding for activities such as workshops, training programs, or capacity-building initiatives.
  • Enhance community development efforts by leveraging both Parties’ networks and expertise.
  • Ensure successful implementation of joint initiatives, aligning with each organization’s goals and strategic objectives.

2. Roles and Responsibilities

SayPro’s Responsibilities:

  • Program Management: SayPro will oversee the implementation of the accreditation program, ensuring businesses meet the necessary compliance standards for formalization.
  • Facilitation of Training and Workshops: SayPro will organize and facilitate workshops, seminars, and training sessions for businesses in informal settlements.
  • Monitoring and Reporting: SayPro will continuously track the progress of businesses, measuring milestones and providing regular updates to the Partner Organization.
  • Promotion of the Partnership: SayPro will help publicize the partnership and its objectives, showcasing the benefits to businesses in informal settlements.

Partner Organization’s Responsibilities:

  • Resource Provision: The Partner Organization agrees to provide resources such as funding, staff expertise, or materials for workshops and training.
  • Policy and Regulatory Support: The Partner Organization will offer guidance on legal, financial, or policy matters to ensure the successful implementation of the program.
  • Access to Networks: The Partner Organization will provide access to its networks to facilitate the delivery of services to businesses and community members.
  • Monitoring and Evaluation: The Partner Organization will participate in the evaluation of the program’s success, offering feedback and recommendations for improvement.

3. Term of the Agreement

This Agreement shall commence on the date of execution and will remain in effect for a period of [12/24] months, unless terminated earlier by either Party in accordance with Section 8 of this Agreement.

The Agreement may be renewed or extended by mutual written consent of the Parties.


4. Funding and Resources

The Parties agree to contribute the following resources for the successful implementation of the partnership:

SayPro’s Contribution:

Partner Organization’s Contribution:

5. Confidentiality

Each Party agrees to maintain the confidentiality of all proprietary or sensitive information received from the other Party during the term of this Agreement. This includes, but is not limited to, financial data, business plans, and personal information of business owners and participants.

This confidentiality obligation shall survive the termination of the Agreement.


6. Reporting and Communication

The Parties agree to maintain regular communication regarding the progress of the partnership. This includes:

  • Monthly/Quarterly Reports: SayPro will provide the Partner Organization with regular updates on the accreditation program, including key milestones, achievements, challenges, and next steps.
  • Meetings: The Parties will hold regular partnership meetings (either virtually or in person) to review progress, discuss issues, and make necessary adjustments to the implementation of the program.
  • Data Sharing: The Parties will agree on the types of data to be shared, ensuring compliance with data protection regulations.

7. Performance Monitoring and Evaluation

The Parties agree to jointly monitor and evaluate the success of the partnership and its initiatives. Evaluation metrics will include, but are not limited to:

  • Number of businesses accredited
  • Impact on local communities
  • Quality and reach of workshops and training programs
  • Financial and resource utilization efficiency

The evaluation will be conducted at the end of each reporting period, and both Parties will review the findings to inform future strategies.


8. Termination

This Agreement may be terminated by either Party upon [30/60] days written notice to the other Party. Termination may occur for any of the following reasons:

  • Failure to Meet Milestones: If either Party fails to meet agreed-upon milestones or deliverables as outlined in the Partnership Work Plan.
  • Non-Performance: If either Party is unable to perform its obligations due to unforeseen circumstances or failure to deliver on commitments.
  • Breach of Agreement: If either Party breaches any material term of the Agreement, and such breach is not cured within [30] days after written notice.

Upon termination, both Parties will ensure the proper closure of all activities and the fair distribution of any remaining resources.


9. Dispute Resolution

In the event of a dispute between the Parties, both Parties agree to attempt to resolve the matter amicably through negotiation and mutual agreement. If a resolution cannot be reached through informal discussions, the Parties may opt for mediation or arbitration in accordance with the rules of the relevant arbitration body in [Location].


10. General Provisions

  • Independent Contractors: The Parties are independent contractors and nothing in this Agreement shall create a partnership, joint venture, or employment relationship between the Parties.
  • Amendments: This Agreement may be amended or modified only in writing, signed by both Parties.
  • Force Majeure: Neither Party shall be held liable for any delay or failure to perform its obligations under this Agreement if such delay or failure is caused by events outside the Party’s reasonable control (e.g., natural disasters, war, strikes).
  • Governing Law: This Agreement shall be governed by the laws of [Jurisdiction], without regard to its conflict of laws principles.
