MEMORANDUM OF UNDERSTANDING

This Memorandum of Understanding (“MOU”) is made and entered into as of the date of signature by and between:

SayPro (SayPro Strategic Projects)
a non-profit development organization operating under the SayPro Strategic Partnerships Royalty, with principal digital operations via www.saypro.online and physical presence in Neftalopolis, herein referred to as “SayPro”,
AND
[Partner Name],
[Legal Entity Description], located at [Partner Address], herein referred to as “the Partner”.

1. Purpose

The purpose of this MOU is to establish a framework of collaboration between SayPro and the Partner to jointly implement, support, or co-develop initiatives that align with SayPro’s monthly thematic focus areas, including but not limited to: education, health, youth development, digital innovation, and environmental sustainability.

2. Scope of Collaboration

The areas of collaboration under this MOU may include:

• Joint project design and implementation.
• Exchange of expertise, data, or resources.
• Co-creation of articles, case studies, and media content for SayPro Monthly Magazine.
• Hosting of community-based events, workshops, or capacity-building programs.
• Partnership response during emergency or rapid-impact campaigns.

Specific projects and deliverables will be defined in separate addenda or annexes signed by both parties.

3. Roles and Responsibilities

SayPro Shall:

• Provide visibility and platform access through the SayPro Website and Magazine.
• Coordinate partnership activities through its Strategic Partnerships Office.
• Monitor, evaluate, and report on joint initiatives using SayPro’s digital tracking tools.
• Uphold ethical, legal, and inclusive development standards.

The Partner Shall:

• Contribute expertise, resources, or services as defined in specific project agreements.
• Ensure timely and transparent communication with SayPro.
• Participate in joint documentation and storytelling efforts.
• Comply with SayPro’s brand, ethical, and reporting guidelines.

4. Duration and Termination

This MOU is valid for a period of [12 months] from the date of signing and may be extended by mutual written consent. Either party may terminate this MOU by providing 30 days’ written notice. Upon termination, both parties agree to complete or mutually dissolve any active engagements.

5. Non-Binding and Confidentiality Clause

This MOU is non-binding and does not constitute a legally enforceable contract or financial obligation. Any confidential information shared during the collaboration shall be handled in accordance with mutual respect and data protection protocols.

6. Dispute Resolution

Any disputes arising under this MOU shall be addressed through good-faith negotiations. If unresolved, the matter may be escalated to the SayPro Strategic Partnerships Royalty for advisory input.

7. Signatures and Acknowledgment

By signing below, both parties acknowledge their intent to collaborate in good faith in accordance with the terms outlined in this MOU.
